Ciena Confirms Purchase Plans for Lightera, Omnia
Ciena Corp., Linthicum, Md., confirmed plans to acquire closely held Lightera Networks Inc. and
Omnia Communications Inc. in two separate transactions totaling about $906 million. Shares of
Ciena, which makes gear that boosts the capacity of fiber-optic networks, fell $2.0625, or 7.7%,
to $24.75 in Nasdaq Stock Market trading. Lightera, Cupertino, Calif., makes switching gear to
help long-distance companies manage traffic on their networks. Ciena agreed to acquire all
outstanding shares of Lightera for 20.6 million common shares of Ciena, or about $510 million
based on Monday's closing price. Omnia, Marlborough, Md., has developed technology that
allows phone companies to transport voice, video and data traffic on a single network system.
Ciena agreed to buy all of Omnia's shares for 16 million common shares of Ciena, or $396 million
based on Monday's closing price.
