Dear De Peep,

The QP began on the date FNTN filed
with the SEC to issue additional
shares in a secondary offering. These
offerings are commonly referred to as
APOs or add-on offerings. Those will
access to E-Trade can see add-on
offerings available in the IPO section
from time to time.

As far is Haggerty is concerned: Upon
my review of the SB-2, in late 1998
he excercised 1 mil shares at .01
per share. I don't recall how many
shares he filed to sell in the 144, but
I don't think it was the whole mil.
My guess is that Mr. Haggery had or has
quite a tax liablity in 1998 as a result
of the option being exercised, but only
his CPA would know this for a fact.
