shares of Common Stock or the average weekly trading volume of shares of
Common Stock on all exchanges and reported through the automated quotation
system of a registered securities association during the four calendar weeks
preceding the date on which notice of the sale is filed with the Commission. Sales
under Rule 144 are also subject to certain restrictions on the manner of sales,
notice requirements and the availability for current public information about the
