Stock Option Plan

A company must amend its stock option plan if it needs more shares to be authorized to be granted as incentive options to management/directors/employees.

A necessary motivator considering that the insiders sold a good portion of their stakes to PA as part of the investment deal.

Such actions usually are not harmful to shareholders, actually benefit as it keeps management motivated to grow the company. This is not exactly the same thing as increasing the total authorized shares capitalizing the corp., which under certain circumstances could be dilutive to EPS.
