Chuzz. . . you finally got really close to the rationale behind the merger-mania in this one . . . "The one advantage I see to pooling of interest mergers is that it frequently allows shareholders in the acquired company to avoid having to pay capital gains taxes."

These deals, in my experience, reflect first, the personal financial interests of the individuals actually involved in the negotiations. It is all-too-often thought that these officers will do what is best for all stockholders since we are somewhat conditioned to believe they wouldn't do anything that would adversely affect the share price. What we, as tiny common shareholders never see are the influences that lay beyond the corporation's offices - we see the post-decision results as "spun" by the accountants and attorneys - as they are instructed to make them appear.

This is hardly uncommon - the business, I believe, of the high-tech (particularly software) market is no longer running a product/marketing/selling/service entity; the business today is a high stakes game of stock manipulations and a focus on squeezing the company (and companies) to make a specific target result each quarter in preparation for the next round of negotiations.

Just my opinion . . .
