Lex, I disagree with the Semigold message. IPEC has how much cash ? ---Precious little...debt is fairly high (long term $117 M). Do you think they can go to the bond market and get more money or get a fair shake in the equity market for new issuance ? They are estimated to lose $2.39/share, about $43 M based on 17.9 M shares. Income statements '93-98 show a profit once, 1995 $0.6 M net (0.02/share).

(1) Speedfam (or better Speedfam-IPEC) is in a better financial position. And as Mr. Sam said, (2) less competition for the combined company (3)entry into INTC market.

Having said that, the risks outlined in the Proxy statement I received yesterday look particularly grim.
