Not if you are a offshore entity. This is what I was told. The shares would only be restricted for 40 days. Check the shareholder list I faxed you dated 11/28/98. You will not see the "R" for restricted next to there name even though they were issued within the one year period. Silicon Valley New Issues Inc. Had those 633,000 shares issued on 11/28/98. They are free trading and could have come not from a offering but from one of the offshore hedge funds. You can make your own conclusions from there. If thats how it happened thats the way they get around the system. Do a reg s offering to a offshore hedge fund then after the restriction period is up place them in the desired company in the U.S.
