RadiSys acquires Sonitech International

Creates Digital Signal Processing Division

HILLSBORO, Ore.--(BUSINESS WIRE)--Feb. 19, 1997--RadiSys Corporation today announced the acquisition of
Sonitech International, Inc., a provider of digital signal processing (DSP) hardware and software solutions for embedded
applications.

With the acquisition of Sonitech, RadiSys gains significant expertise in a broad range of DSP technologies in
telecommunications, voice coding, high speed control, imaging and machine vision applications.

"Sonitech's technology is a strategic addition to RadiSys' ability to provide the broadest range of embedded solutions for our
OEM customers," said Glen Myers, RadiSys president and CEO. "We now have the advantage of being able to develop
higher value-added solutions based on both x86 and DSP processors."

Sonitech's business model matches that of RadiSys -- focused on developing custom solutions for volume OEM applications.
Sonitech's solutions use the same modular bus structures as RadiSys' products, such as the VME and PCI buses.

"Sonitech provides integrated DSP solutions including hardware, software and support, a model that is similar to RadiSys'
customized solutions for OEM applications," said Yogendra Jain, Sonitech president. "And RadiSys' complementary
technologies, dedicated manufacturing and strong sales channels worldwide offer great benefits to Sonitech's customers."

Under the agreement, RadiSys will exchange 83,500 shares of RadiSys common stock and approximately $1 million in cash
for all the assets and certain of the trade liabilities of Sonitech International. For the year ended December 31, 1996,
Sonitech had unaudited revenues of approximately $3 million and break even earnings. The Sonitech business will become a
new division of RadiSys focused on embedded DSP applications. The division will be jointly managed by Yogendra Jain and
Xavier Barrera, who was Sonitech's general manager.
