1. The pay raise for Schwartz was effective 3/1/98, when the stock was much higher than it is now, and pre-China, pre-Zenit; I suppose the paper losses he's incurred as a result of the above outweigh by a factor of at least 10 his increase in salary. Anyway, it's pretty clear to me that Schwartz and the other top guns got big raises to preserve parity with G. Clark, who was hired in (early last year) at a big premium with respect to M.Targoff's old salary. Maybe Clark is overpaid, but I assume the company did some DD before hiring him at the price it paid.

2. Regarding the new preferred stock, It's not clear the main purpose is as a poison pill as opposed to a normal financing tool. Anyway, I tend to favor anything that would make Loral harder to take over at this point.
