Well that could be true as to the previous owner of the 144 shares from cd yearbook paper. But who knows where that paper went in the acquisition of the shell. Usually when one buys a shell, the purchaser acquires 90 to 95% of all the shares. And usually the rest are free trading paper in the float. So someone of the acquiring company, ie tmrt bot those shares in the merger. But the shares maintain what is called "history" and the one year in some cases does not apply to the new owner. there are ways to make this happen.
Thus the opinion letter can be drafted on the history of the shares.
plus after 2 years the legend can be removed permanently and be traded forever after.

I know this as have brokered many of reverse mergers in my day.
Filed enough form 10's in my day.
Filed enough 15c's in my day.
Registered enough 144's in my day.
