NYBull,

the reverse structure is a simple was of taking a company public wothout the hassle of a large sclae IPO, it is perfect for small cap companies

Reverse mergers are also perfect for getting a public listing for a company with something to hide. Typically there's no pesky prospectus to file, and little regulatory scrutiny - which is a big difference compared to the IPO route.

At one time, the RM was a common method used by stock operators to get a hold of VSE companies for the purposes of pumping them, and then dumping them. Since the heat was turned up on the VSE, some of this type of activity has moved to the exchanges that have little scrutiny (the OTC:BB and Alberta come to mind). Since many of the players are the same, the tactics are recognizable. This is a general comment, and is not intended to refer to any of the companies that you mentioned.

Regards,
John Sladek
