On April 25, 1994, Patrizio Acquisition, Inc., a wholly owned subsidiary of Co., merged with Patrizio Restaurant, Inc. and Patrizio North, Inc., in exchange for approximately $3,200,000 in cash and the issuance to Jack Knox, President and Chief Executive Officer of Co., 6,163,934 shs. of Co.'s common stock.
Control: As of Dec. 31, 1996, Jack D. Knox owns 80.6% of Co.'s outstanding capital.
