Ruthie, sorry, but I don't know the answers to your questions. We would have to read the companies rules of incorporation or equivalent documentation. Your concern on the proxy issue may be valid if a court rules the dissident meeting legal. <<I have spoken with Bob many times>> He should be your best source to answer all your questions. Let us know what he says.

PS, IMO while the uncertainty does unsettle and hurt stock price in the near term, there is occurring a struggle that says there is something worth protection. Both the objective of stock appreciation by any reason and the other camp's objective to create a mine should help increase shareholder value if the method doesn't include mutual assured destruction. This nonsense kind of reminds me of the Les Miserables, Dog Eats Dog.
