What USR brought to the table in the merger was:
1. Brand name recognition.
2. Palm pilot, not very profitable yet, but market leader in
- an exploding market.
3. WAN access equipment, from PC to ISP. ( 3Com was mostly LAN)
4. The corporate overlap was not too bad.
5. A way overpriced stock swap. 3Com did get reamed by the USR
Managment, USR stuffed the channels, put all of their inventory
on the shelves, 3Com has made some tough choices to prevent a
modem fire sale, such as slowing down production, until the inventory
was sold down to acceptable levels.
The real villain in the merger was USR.
