Friday's New York Times tries to answer the question bothering all Lycos shareholders: Why did Lycos accept such restrictive terms?

Answer: Because it was desperate. Lycos had been shopped to 30 suitors in the preceding months, and when negotiations with NBC broke down and Diller showed up, Davis was eager -- eager enough to give a pass to the 17.5% competitive tender provision, and eager enough to ignore that NBC's external legal was now representing USA Nets.
