Duffield is actually stepping up.

He's looking for a President/COO while he himself stays, upstairs in effect, as Chairman and CEO. This has been in the works for quite a while.

E-mail from Dave Duffield to PeopleSoft staff, 3/9/99:
Many of you have seen the article that appeared in today's Wall Street Journal stating that PeopleSoft is looking for an executive to replace me as president. The fact is, for several months now we have been conducting a search for a new president and COO, and we've made no secret of it.
I am planning to continue in my role as chairman and CEO.

UT: Is this something that the board asked for, or did you decide it was time? How did this come about?
Duffield: I decided it was time, in consultation with our management team, last summer.

As far as leaving the company, just yesterday I read an interview with him--I wish I could remember where--in which he said no, he wasn't leaving, that he would "die" at the company.
