PHILADELPHIA--(BUSINESS WIRE)--March 26, 1999--A class action
lawsuit was filed on March 26, 1999 in the United States District Court
for the Southern District of Texas on behalf of a investors who purchased
calls or sold puts of Compaq Computer Corp. ("CPQ") from Jan. 27, 1999
through and including Feb. 25, 1999 and were damaged thereby,
inclusive (the "Class Period").

The Complaint charges CPQ (NYSE:CPQ) and certain of its officers with
violations of Sections 10(b) and 20(a) of the Securities Exchange Act of
1934. The Complaint alleges that defendants issued a series of
materially false and misleading statements that failed to disclose that
defendants knew or recklessly disregarded the material facts that sales
to small and medium size businesses in North America and Europe had
slowed in January and such slowdown would negatively effect Compaq's
earnings and revenues. During this time period, numerous officers of
Compaq sold hundreds of thousands of shares of Compaq common
stock in advance of the revelation of the truth.

This action seeks to recover damages on behalf of defrauded investors
who purchased Compaq securities.during the Class Period. Plaintiffs are
