I would be thrilled to wait 7 years if I could pay off my house by doing so!! Regarding the shareholders rights plan, I think it will help small investors like us. I will not prevent a takeover per se, but what it will prevent is an acquirer from effectively gaining control of the company by buying large blocks of shares from various large holders of the stock (like Larry Feinberg and J.P. Morgan). If anyone acquires 15% or more of the stock, the plan is triggered- As I understand it, the plan they allows all the other investors to buy a bunch more stock at bargain basement prices this dilutingthe control of the 15% acquirer. If you searcg EDGAR, the actual text of the plan is on file w/ SEC. If I recall correctly, an example is given there about how the plan would work if someone acquired 15% or more. The plan doesn't prevent a tekeover, it just forces the acquirer to deal w/ the Board of Directors in doing so and not simply buying a couple of large blocks of shares w/o BOD knowledge - We still have to trust the BOD to act in our best interests- I have no fear in that regard.
