BIG ORDER FROM MOTOROLA:

MOUNTAIN VIEW, Calif.--(BUSINESS WIRE)--May 14, 1996--Tencor
Instruments (Nasdaq:TNCR) today announced that the world's fourth largest
semiconductor producer, Motorola (Austin, Texas), has placed a
multiple-system, multimillion-dollar order with Tencor. The order
encompasses Tencor's full line of products, including a large number of
Prometrix UV-1050 and UV-1250SE film thickness measurement systems to
be installed at Motorola's MOS 13 fab. Tencor reports that it is now the supplier
of choice for these products at MOS 13.

The Tencor systems have already begun shipping to the MOS 13 facility, which
manufactures advanced electronic products such as PowerPCs. The systems will
be used in a variety of applications, including photolithography, etch,
deposition, diffusion and chemical-mechanical planarization (CMP).
