I am very interested in investing in this company.

A few questions pop up though:

1)What makes Netbilling's business proprietary? Could competitors easily set up similar operations? Or is it more the case of "first on the scene" like the major on-line auction sites? I guess what I am getting at is whether or not netbilling has any tangible competitive advantages.

2) Will there be any share dilution after the reverse merger? I ask this because I've been involved in shell companies where the value of my holdings became greatly diluted because of adverse changes in the number of authorized and outstanding shares.
