ELIZABETH! FOR THE LAST TIME - ** REGARDING REGULATION S. SHARES!!! There are good uses for Reg. S and bad. One, the company sells the stock without the investors knowledge and lets them ride the price down with all those Reg. S shareholders selling 45 days after or shorting immediately and using the shares to cover later. Then, there is the REAL purpose of the Reg S. shares - Allow a company to raise cash quickly without all the usual expenses of a secondary offering etc.. SYNCRONYS NEEDED THE CASH AT THAT POINT AND DID THE RIGHT THING! Syncronys Software filed a detailed account of their Reg. S offering and recently added restriction to help their shareholders (US!). This was done with the approval of 78% of debetures. THERE ARE NO CONVERTIBLE DEBETURES UNTIL LATE MARCH. At that time 15% of $7.8 million can convert at 85% of the stock or $3.50. If the stock is at $4.11, ($4.11 x 85% = $3.50), the most that could come to market each month is $7.8 million x 15% = $1.17 million / $3.50 = 334,285 shares. That's assuming they ALL convert. This stock will eat up 334,285 in one day! THIS IS NOT AN ISSUE! THE PRODUCTS ARE THE ISSUE. The company has been very straight forward with all their accounting and operations. The only negative (and it was a big one) was the SoftRam. That allowed us the opportunity to buy this company at it's current price. Otherwise SYCR may be a $30-50 stock right now???? Until you get a REAL GRASP of financials, don't just yell fire because you hear the word Reg. S? It goes to show that someone with a LITTLE knowledge can more MORE DANGEROUS than someone with a lot. If you have questions ask? If you have concerns, speak your mind. But don't babble about Reg. S. without the facts.
