[ Ascend ] Ascend Communications Inc/ Ascend Communications Acquires Key Technologies -- Ascend Communications, Inc., today announced that it will acquire Whitetree, Inc., a privately held developer and provider of high-speed switching products. The transaction will be accounted for as a pooling of interests and is intended to qualify as a tax-free organization. Under the terms of the agreement, Ascend will issue approximately 1.1 million shares of its stock to Whitetree shareholders in exchange for all outstanding Whitetree shares.
