Teltran International Files Form 10-SB With SEC
NEW YORK--(BUSINESS WIRE)--March 29, 1999--Teltran International (OTC BB:TLTG - news) Monday announced that it has filed a Form 10-SB with the Securities and Exchange Commission under the Securities Exchange Act of 1934.
As a result of this election, and according to Section 12 g of the Securities Exchange Act of 1934, Teltran expects to become a fully reporting company in the near future. The filing includes Teltran's 1998 audited financial statements including the removal of the 'going concern' disclaimer, which indicates that Teltran now has the ability to continue doing business as a going concern.
''Quarterly earnings reports as well as certified year end financials will be available to the public within forty-five days of the end of each calendar quarter and ninety days after the end of the year,'' said Byron Lerner, Teltran's President & CEO. The filing is an effort by Teltran to provide its shareholders with the same information as is available for companies listed on a major exchange and Teltran will endeavor to treat its shareholders as though they had stock in one of the leading US companies.
''Teltran also intends to file a registration statement in the near future covering restricted shares presently outstanding or subject to existing options. One purpose of the registration is to increase the public float as Teltran positions itself for listing on one of the major exchanges,'' added Lerner.
