Red, there is nothing presented in Aber's arguement that will win it for them in court. They are in essence claiming that they were somehow treated unfairly-not that the JV contract was violated in any way by Winspear.
1) Winspear prepared a very detailed written proposal for the 1999 program.
2) The parties had a meeting to discuss the proposal and by Aber's own account they had no complaints with the program.
3) Onus now falls upon Aber to respond formally committing their cash. Failure of proper notice by Aber would signal non-participation and dilution according to the agreement. Winspear does not have to prepare the notice for Aber to sign or commit their money. That is their responsibility. Winspear is likewise not obligated to beg and plead for either their participation or commitment. Winspear's obligation is to their own shareholders and the protection of their rights.
4) End of story. The rest is history and crying with window dressing.
