Letter of Intent Signed Between OnLine Production
and Cheong Ming Holdings to Develop and Operate
OnLine's Casting Workbook System in Hong Kong
and the People's Republic of China
VANCOUVER, British Columbia--(ENTERTAINMENT WIRE)--March 31, 1999--OnLine Production Services Inc.
(''OnLine'' or the ''Company'') (OTC BB:ONPS - news), developer and provider of the premier internet based
communication software, the Casting Workbook, for directors and agents in the worldwide film and television production
industry is pleased to announce that OnLine has entered into a letter of intent (the ''Letter of Intent'') with Cheong Ming
Holdings Limited (''Cheong Ming''), a public company trading on the Hong Kong Stock Exchange (symbol 1196), pursuant to
which OnLine and Cheong Ming propose to enter into a formal joint venture (the ''Joint Venture'') agreement to develop and
operate the Casting Workbook interactive internet system in Hong Kong and in the People's Republic of China.
The Letter of Intent proposes that: (i) Cheong Ming procure banking facilities for working capital for the Joint Venture
company; (ii) OnLine give the licensing rights of the Casting Workbook for Hong Kong and the People's Republic of China to
the Joint Venture company; (iii) no license fees, and other charges or out-goings be payable by the Joint Venture company to
OnLine for use of such licensing rights; and (iv) the Joint Venture company pay to OnLine an up-front fee for OnLine to
provide it with the system set-up and technical support, and maintenance services required for the Joint Venture company to
use the Casting Workbook.
OnLine operates a full breakdown service and interactive internet system that is specifically designed for actors, producers,
talent agents and casting directors. The system allows a casting director to send a detailed breakdown on film, television or
commercial projects to talent agents over the internet. In turn, the casting directors receive current and detailed portfolios of
