It's calling for a "in person only" vote.
They want to elect a Board of Directors and ratify
amendments to change the name of the Company
to Veltex Corp. and a one for 25 RS, and "any other
business that may properly be brought before the
meeting."

The record date for determination of the shares entitled
to vote at the meeting is March 23, 1999.
