I have to read the entire filing,but according to this passage, >>The Holder shall be entitled to convert this Debenture at any time prior to the prepayment date set forth in such notice of prepayment.<< it would seem that when and if the company gives notice of prepayment, the holders of the debenture have the right to convert instead of receiving the prepayment. In that case, prepayment would only make sense if the stock price is considerably higher than today's levels.
