From the 10K, "are convertible into shares of common stock at a 30% discount to the average market price for the five days prior to the date of conversion." There is no set minimum or maximun conversion price. The amount of shares to be issued on conversion is solely based on the stock price 5 days prior to conversion..hence..the term floorless..
