RJIII I agree, nothing was clear in the press releases, nor in the filings with the sec. Certainly not in the "news" as was all the other "positive and forward looking information" in the press releases from February through April 1. All the information in the press releases indicated Heartland not the "newly created company" was the beneficiary of all the forward looking activities. As such they were an inducement to the public.

There are arguments on both sides, just who puts a better case together will win this one. But, another thing in favor of the "old shareholders" that bought between February and April 1, is that the management actions and questionable business practices have NOT changed and are the same that led Heartland to bankruptcy via deceptive trade practices. That information will be in the interest of the bankruptcy court judge. And the judicial court interested in the class action cases. You see, although the bankruptcy has been approved - it is reorganized and as such it is still under the watchful eyes of the judicial system.

Intent to deceive is an issue, and when the press releases were issued - there were NO statements of fact that affected the valuation of Heartland at press time of each press release but the company name Heartland was plastered throughout the releases.

Considering how David Sirk interprets the bankruptcy discharge, if anyone has a great case to get the new issue it will be those who purchased on April 1, 1999. It is the company's responsibility and the brokerage firm as well to know what is out there for sale.
