Lucent to acquire Mosaix

MURRAY HILL, N.J. (CBS.MW) -- Shares of Mosaix Inc. soared as much as 31 percent Monday on news that Lucent Technologies agreed to acquire the software company for about $145 million in stock.




Under the terms of the agreement, each share of Mosaix (MOSX) will be converted into 0.1927 shares of Lucent (LU) or $10.77 per Mosaix share, based on Lucent's April 1 closing price of 55 7/8. The exchange rate reflects Lucent's 2-for-1 stock split effective on April 1.

With the deal, Lucent expects to expand its portfolio of call center products.

Mosaix said it will end its stock repurchase program and reissue about 2.8 million common shares. The $145 million value price of the transaction includes these additional shares and is based on Lucent's April 1 closing price.

Mosaix shares rose 2 3/16 to 10 9/16. Lucent shares gained 1 9/16 to 57 7/16.

Lucent said it expects the deal to close during its third quarter. The company also said the deal should be neutral to earnings in fiscal 1999 and add slightly to earnings in fiscal 2000.

"Mosaix and its visionary people are a great addition to our business and a great investment for Lucent's future," said Lucent's customer relations vice president Janice Anderson in a statement.

Mosaix is a Redmond, Wash.-based provider of software that links companies' front and back offices and helps them deliver customer services.
