For a full understanding of the implications of the shareholders rights plan, please consult a lawyer.

Generally speaking, the intent of the rights plan is to give the board of directors the opportunity to objectively evaluate any offer to acquire all or part of the company and, should they deem such an offer to be inappropriate, to attempt to either get a better offer or to invoke certain rights that could otherwise help the shareholders maximize the value of their holding in Wi-LAN.

There are general accepted rules for shareholders rights plan and I believe that the plan we chose complies with most of these.

The adoption of a plan by the board of directors was a logical step after announcing the search for strategic partners. We are looking for partners that will help us capitalize on the perceived technological and market leads we have attained. This strategic partnership could be with companies that have large manufacturing capacities and established international distribution. As stated in the press release, Wi-LAN had experienced an increased interest in its technology after the signing of major Internet wireless local loop contracts and the adoption of OFDM in the IEEE802.11a draft standard. We believe that the maximum value for the shareholders will be realized if we focus on increasing our manufacturing ability and if we can reach more of the telephone companies.

We believe that Wi-LAN has strong fundamentals and that should it be able to capitalize on its technological and market leads, it has a great potential to be a major player in the high speed Internet wireless local loop market.
