I spoke to Plexus' CFO,Tom Sabol,about the PLXS,SEMD acquisition.The following points were made:
1.The SEMD price can be renegotiated if PLXS' stock falls below $27.In fact,section 9.4 of the agreement says that the parties can amend the agreement anytime before or after the approval of the agreement.....
2.Credit Suisse First Boston has said that "this acquisition is positive for PLXS for 2 reasons: 1)enhances their exposure to the high end,high margin medical end mkt.(currently 24% of total sales) & 2)provides PLXS with 2 facilities in the Northwest".
I seriously doubt that the deal will be called off if PLXS falls to $24 or $25.What will happen is that the exchange rate will increase(IMO).The merger agreement already provides an exchange ratio of .4444 if PLXS falls below $27.The caveat in the agreement that says that PLXS' stock must be $27 or greater can be superceded by section 9.4.
There seems to be a lot of misinformation out there.
By the way,Sabol was aware of ELAMF.
