It might also be pointed out to Don that the S-3 is filed as a "shelf" registration (pursuant to Rule 415), which basically permits holders of convertible debentures to convert to common at any time until conversion rights expire or the debentures are redeemed (hopefully, in the interests of we threaders, because market price exceeds the 124.875 conversion price).
