Agreement Names GI as First Contracted Development Partner of Integrated IP Broadband
Networking Solutions for AT&T's IP Telephony Initiative

HORSHAM, Pa., April 8 /PRNewswire/ -- General Instrument Corporation (NYSE: GIC - news) announced today
it has signed an agreement with AT&T under which GI becomes the first contracted development partner of
Internet Protocol Telephony hybrid fiber-coax access network elements for AT&T's end-to-end IP solution.
Under this agreement, GI is to develop, trial and deliver customer premises equipment on a non-exclusive basis as
part of a HFC IP telephony access system that will provide AT&T another way of offering data, voice and video
services over its HFC network. The AT&T broadband network will initially employ circuit switched technology,
utilizing advanced networking and Voice-over-IP (VoIP) technologies in the future.

''We are very pleased to formalize our relationship with AT&T and continue work on this groundbreaking
project -- an end-to-end IP access network solution for AT&T's HFC network,'' said Dan Moloney, Senior Vice
President and General Manager of GI's Advanced Network and Telecom Systems. ''This signifies the growing
importance of IP technology and further establishes GI's leadership role in providing IP solutions.''

GI's development activities will encompass CPE solutions to support AT&T's VoIP application. GI's suite of
industry-standard communication gateway solutions includes stand-alone Broadband Telephony Interface (BTI)
terminals and integrated BTI solutions for the DOCSIS-based SURFboard® high-speed cable modem and the
DCT-5000+ advanced digital set-top terminal. The DCT-5000+ with built-in cable modem will be available under
GI's agreements to supply over 15 million digital set-top terminals, over a 3-5 year period, to AT&T and other
leading cable system operators under the industry's Open Cable specifications."
