The company has approved a letter of intent to acquire all of the
outstanding shares of CD Plus.com Inc. from its current shareholders.
This letter of intent has been executed by both Signature Brands
Limited and CD Plus.com Inc. At this time, no definitive agreement has
been reached or entered into and there can be no assurance that the
transaction will proceed. In the event that a definitive agreement is
reached, shareholders of CD Plus.com Inc. will exchange their shares
for shares of Signature Brands Limited such that they will hold
approximately 90 per cent of the shares of Signature Brands Limited
following completion of the transaction. The transaction is subject to
normal closing conditions including, among other things, execution of
definitive documents, the approval of the current shareholders of
Signature Brands Limited and CD Plus.com Inc., and the receipt of all
required regulatory and third party approvals, including the approval
of the Toronto Stock Exchange.
CD Plus.com Inc., with annualized sales in excess of $55-million, is a leading Canadian retailer of prerecorded music and related
entertainment products with approximately 100 stores in six
