I think we now have a merger date, from the S-4/A:

"The merger will close as soon as all the conditions to the merger have been satisfied or waived. The merger will become effective when a certificate of merger is filed with the Secretary of State of the State of Delaware. The certificate of merger will be filed on the closing date. The closing and effective time of the merger are anticipated to be on or about April 23, 1999."
