Operator: Good day everyone and welcome to today's TouchStone Software Corporation company update conference call. The speakers on today's conference are Calvin Leong the Chief Financial Officer, and Pierre Narath the President and Chief Executive Officer. At this time, I would like to turn the call over to Mr. Leong. Please go ahead sir.
Calvin Leon: Thank you. Good afternoon, it is a pleasure to speak with you today. I thought I would start by reviewing TouchStone Software's 1998 fourth quarter and year end results which were previously announced in March of this year.
The company reported a loss of 260,000 or 3 cents per share for the fourth quarter which ended December 31, 1998. This compares with a profit of $23,000 or break even per share in the same period last year in 1997. The company's revenue for the fourth quarter were $1 million (OFF-MIKE)

Pierre Narath: This is Pierre Narath talking, I guess we had a little bit of technical difficulty with Calvin. We're conferencing him in from California, and please bear with us one moment please.

Pierre Narath: All right, in light of the fact that Calvin can't complete the call, and he'll be joining us shortly, I guess I'd like to start into some of the other issues I wanted to cover.
First of all, I come from Unicore Software. The Unicore transaction closed in March. In that time, we've been integrating our operations -- TouchStone's operations with Unicore's. The integration is continuing in a very positive light. We anticipate that the integration should be completed sometime in the second quarter. Due to the late closing of the transaction, we couldn't begin the final integration of moving the offices until we really had a closing. And that is why we're overlapping into the second quarter.
Unicore sales continuing to be turning upward. They're very strong. I invite you to look at our Web site, www.Unicore.com, for additional information on our products. They all seem to be selling very well right now.
And now let me discuss a little about the combined entity. As I said, we anticipate the operation to be moved to North Andover, Massachusetts by the second quarter -- sometime in the second quarter. We, in the past month, did a press release regarding Digital River, and we anticipate that the Digital River contract will lead to increased Internet sales for our company. They'll be handling the backbone or transaction of our products sales. They also have a lot of connections in the industry within the Internet area where we really don't have much experience. So we feel the combination with them should really help us penetrate new markets.
In addition, the combined companies are focusing on new technology in the diagnostics area for Windows 2000 and also for Windows 98, and that technology development continues on a very strong pace. We are adding engineering and expect to offer new products third quarter, fourth quarter this year which would -- should be very strong technologically.
And finally, we are enhancing our existing products, as we speak, and anticipate releasing some new enhancements to a fast move shortly which will increase, hopefully, the retail acceptance of these products.

All right, today we issued a press release regarding the transaction we had done for CardWareâ product line from Phoenix Technologies. And I want to talk a little about that quickly. The product is called CardWareâ . The purchase was effective March 31 of this year. CardWareâ is a software utility that provides card and socket services for notebook computers under Windows NT, Windows 98 and DOS. One of the reasons we did the transaction is I felt it would enable TouchStone to enter the diagnostic or the OAM market with the diagnostic products and kind of be a catalyst to help us penetrate the OAM marketplace. This is a place where Touchstone has been relatively weak over the years. |
