I wouldn't accept "compensatory shares" as a means for Smith retain control of the company. As Asbjorn at Yahoo basically said, this would be a hell of a kick in the ass after all of the promises that Colin made about not increasing the sharecount. On the other hand, I don't know how there could be another explanation; I do not believe that Smith has anything close to enough money to buy that many shares.

Schuholding also writes off the lack of any evidence of a US auditor as pretty much SOP. I don't buy that one, either, but respect his opinion. To me, there was not only no mention of the auditor, but no evidence that anyone with even a beginner's competence in completing one of these forms had anything to do with it. How could a noted, regional US accounting house let a Form 10 go to the SEC with repeated sections in Spanish?

I was honestly hoping that the Form 10 would give me a reason to get back into this company but it has done the opposite and convinced me that this company is grossly mismanaged and poorly advised. If anything, I look at this as a "greater fools" kind of play now: might be able to make a few bucks on the inevitable hype, but no way I'd want to leave my computer screen with money in it.
