Either way, if EP and Mason knew about it before Friday, and did not tell (waiting a few days) for whatever reason, I believe that would be against SEC rules (no?) concerning timeliness.

The reason is that EP wanted to drag Dell to the mud. He waited until Dell conference with analysts was over, so that Michael Dell could not rebut EP statament about "lower-than-expected market demand". It is common knowledge that EP dislikes Michael Dell. I have never seen a face with more hate and anger than that of EP. CPQ Board of Directors should find a new captain, none too soon.
