VANCOUVER, March 10 /CNW/ - Corniche Capital Inc. (the ''Corporation'')
is pleased to announce it has signed a Letter of Intent with MNI Systems
Corporation (''MNI''), a health informatics company.
The Corporation intends to make an arm's length takeover bid pursuant to
a securities exchange takeover bid circular (the ''Takeover'') and acquire all
the issued and outstanding securities of MNI, being approximately one million
shares. The Corporation intends to issue one common share at a deemed price
of $0.20 per share for each MNI Share exchanged pursuant to the Takeover and
one stock option for each MNI Stock Option exchanged pursuant to the Takeover.
The proposed acquisition pursuant to the Letter of Intent and the
conditions of the acquisition are subject to the approval of the Corporation's
shareholders. The Alberta Stock Exchange (''ASE''), and possibly other
regulatory authorities. The acquisition of MNI by the Corporation is the
Corporation's proposed ''Major Transaction'' in accordance with the applicable

Short History

The list of other care providers includes, but is not limited to

Revenue model is based on both Communications and Data Mining activities

- Communications - The MediNet System facilitates electronic
communication amongst all participants.

- Data Mining - After the total number of health records has reached
'critical mass', a statistical database, extracted from health records
(coded with internationally recognized codes) would be available for
research purposes.

Physicians are the primary group responsible for the creation and
maintenance of health records. Therefore, both of these assets are dependent
upon physicians wide spread use of The Medinet System. MNI believes that if
30% of physicians in a 'community' use The Medinet System, word of mouth
regarding the value of sharing relevant health information should drive the
participation rate to 80%. It is assumed that up to 20% of physicians within
any single community will not join for a variety of reasons.
Revenues are derived initially from key stakeholders in the healthcare
industry (i.e. pharmaceutical and medical product suppliers and insurance and
government organizations) as well as from Physicians and other care providers.
MNI believes that secondary financing should arise as companies access the
data mining, which allows them access to specific patient information without
