The Corporation intends to make an arm's length takeover bid pursuant to a securities exchange takeover bid circular (the ''Takeover'') and acquire all the issued and outstanding securities of MNI, being approximately one million shares. The Corporation intends to issue one common share at a deemed price of $0.20 per share for each MNI Share exchanged pursuant to the Takeover and one stock option for each MNI Stock Option exchanged pursuant to the Takeover.
