Cnet to Increase Authorized Shares Outstanding to 400 Mln

San Francisco, April 12 (Bloomberg) -- Cnet Inc. directors
agreed to increase authorized common shares in the Internet site
and television-programming provider to 400 million from
50 million, according to a federal regulatory filing.

Directors also agreed to increase common shares available
for employee-incentive stock options to 6.2 million from
5 million, according to the U.S. Securities & Exchange Commission
filing.

The authorized -- though unissued -- shares give the San
Francisco-based company the flexibility to pursue acquisitions,
financing and stock-splits, its filing said. Many Internet
companies have used their fast-rising shares as currency to make
acquisitions.

Shareholders are scheduled to vote on the increase at a May
26 meeting.

Cnet rose 8 1/2 to 142 3/4.
