HYPERTV(TM)

HyperTV, the company's patented software application, represents a core breakthrough for the convergence of
television and the Internet. Introduced at the Jupiter Consumer Online Forum in early March 1999, HyperTV enables
television programmers and advertisers to -- simultaneously, directly and in real time -- "push" to consumers
compelling Internet content that directly corresponds to a video program. Using ACTV's proprietary and proven
methods, HyperTV permits the simultaneous and synchronized delivery of streamed video and Web URLs (Uniform
Resource Locators) to users. HyperTV has a database capability that allows programmers, advertisers or other
businesses to build one-to-one relationships with the end-user by capturing permission-based marketing
information, such as demographics and preferences.

HyperTV users can receive enhanced content, chat, play games, even shop online, all in synch with a live or
pre-recorded television program or other video-based program. Today, HyperTV users can watch video on a
standard television set while viewing synchronized web content and interacting with other users via their computer.
According to a January 1999 survey, nearly one in five U.S. households are already creating their own convergent
media experiences by simultaneously viewing television and accessing the Internet. Based on the survey, there are
already more than 18 million "convergent households" in the U.S., an increase of more than 80% since December
1997, and that number is expected to grow rapidly.

As broadband technology and digital cable proliferate, users will be able to enjoy a HyperTV experience with video,
synchronized web content and chat simultaneously delivered to a TV set or personal computer.

"INDIVIDUALIZED TELEVISION"

ACTV believes "Individualized Television" is a third, more powerful alternative for the digital spectrum than the
improved picture quality offered by "HDTV" (high definition television) or the increased quantity of programming
made possible by "multicasting." ACTV's "Individualized Television" digital programming capabilities take
traditional television programming into the digital age by allowing viewers to switch seamlessly among multiple,
real-time feeds of video, audio and data.

Using a standard digital set-top box and remote control, a viewer can switch between the regular programming
feed and a multitude of personal options and features. ACTV's proprietary software (which is integrated into the
set-top box) remembers viewer commands and responses to on-screen prompts, enabling the television to "talk
back" to an unlimited number of viewers with individually-tailored television programming and targeted,
addressable advertising content.

"Individualized Television" can enhance a variety of television genres, including sporting events, news, game
shows, children's programming, music and advertising. For sporting events, ACTV's "Individualized Television"
offers more than 60 viewing options such as Star Cam, an isolated camera angle focused on a featured player;
instant replay on- demand; in-depth statistics; scoring summaries; and relevant video feature stories and interviews
at the touch of a button.
