I think it's really really odd that USRX would agree to *only* $70 per share. I would have thought it would be upwards of $80.

1) This deal was in the works a LONG time ago--when COMS's stock was much higher.

2) USRX must expect that COMS's stock is going to head significantly higher in the next few months--which is what they are OK with accepting the current offer.

My guess, is that it's a combination of the above. I'll be buying USRX (and I won't be bashful about it, Dwight!)....
