Dear Stockholder:
You are cordially invited to attend the 1999 Annual Meeting of Stockholders of EarthLink Network, Inc., which will be held at 9:00 a.m. local time on Thursday, May 27, 1999, in the Executive Conference Room of EarthLink, 3100 New York Drive, Pasadena, California (the "Annual Meeting").
The principal business of the meeting will be to elect directors for the ensuing year, to amend the Company's 1995 Stock Option Plan to increase the shares reserved for grant thereunder from 5,700,000 to 7,700,000; and, to amend the Company's Certificate of Incorporation to increase the authorized shares of the Company's Common Stock from 50,000,000 to 200,000,000. During the meeting, we will also review the results of the past fiscal year and report on significant aspects of our operations during the first quarter of 1999.
