2. Directors and Officers of the Company
During the financial year ended April 30, 1997, the aggregate cash remuneration paid or payable by the Company and its subsidiaries to its directors and executive officers for services rendered was $475,775.
The services of Rene J. Branconnier, as Director, President and Chief Executive Officer of the Company, are provided to the Company pursuant to a consultant agreement between the Company and Sanclair Holdings Ltd., a private company controlled by Mr. Branconnier. The Company pays to Sanclair Holdings Ltd. a consultant fee of $187,400 per annum. During the fiscal year ended April 30, 1997, the Company paid consulting fees in the amount of $187,400 to Sanclair Holdings Ltd.
