Founded in 1990, Nashville, Tennessee based Microphonics, has developed a
high-tech mechanical ultrasound diagnostic devise that detects the presence
of ultrasonic sound waves and translates those waves for the human ear.
Known as the Ultraphonic Detector, this hand-held device is so exact that it
can detect a hole half the thickness of a human hair. Not only can it
pinpoint and identify leaks (pressurized, non-pressurized and vacuum), it
can predict mechanical malfunctions and certain electrical problems as well.

Jan. 14, 1999 - MICROPHONICS AND FORD MOTOR SIGN CONTRACT; Microphonics
has entered into a contract to supply Ultrasound diagnostic equipment to allof the 6553
Ford Motor Co. [NYSE:F - news] automotive dealers in the
US and Canada. The test equipment will be supplied through the SPX Dealer Equipment
network under the Rotunda label.

Microphonics continues to be on the cutting
edge of this new and exciting technology.
The daily growth and the multiple use potential has placed our three divisions in the
forefront of Ultrasound diagnostics.

Microphonics, founded by Jimmy Gayle in 1990, has assembled a unique trio of

Feb. 3, 1999 - MICROPHONICS AND GENERAL MOTORS SIGN CONTRACT;
Microphonics through its Ultraphonics division, has delivered 22 of its 111R
CK
diagnostic systems to the first of the 64 GM plants covered under the
blanket purchase order with General Motors. The Ultraphonics units retail at
$2950.00 each. Our projections call for each plant to purchase 20 to 40
units, depending on plant size.

Microphonics, through its Ultraphonics division, has received this blanket
purchase order for ultrasound diagnostic equipment from General Motors Corp.
This blanket purchase order covers all 64 plants within General Motors North
American operation. On-site training has begun and will continue throughout
the year. The Ultraphonics division of Microphonics is at the forefront of
both preventative and predictive maintenance within any industrial setting.

Feb 10 - MICROPHONICS AND F&M MAFCO SIGN DISTRIBUTION AGREEMENT;
Microphonics is pleased to announce that it has entered into a contractual
agreement with F&M MAFCO Inc. as a flagship distributor of the Ultraphonics
111RCK Ultrasound diagnostic system.

F&M MAFCO is a 53 year old company specializing in providing tooling and
equipment to the paper, petrochemical, power, steel, heavy construction and
industrial maintenance marketplace.

The contract calls for an initial order of 100 units, 50 of which have
already
been delivered. A year contract will then take effect, calling for purchase
of
75 units per month. The retail price of the 111RCK is $2,950.00.

Feb. 23 - MICROPHONICS SIGNS SUPPLY CONTRACT WITH SPX LOWENER;
Microphonics has received a purchase order from SPX Lowener OTC Tool GMBH
in Langemfeld, Germany. Microphonics has begun supplying Microphincs Model
A07S to them for shipment to Ford Motor Company and their 9700 European
dealers. The units carry the Ford FSE logo. The instructions manuals have
been
translated into 17 different languages.

March 2, 1999 - MICROPHONICS AND NASCAR SIGN SUPPLY CONTRACT;
Microphonics has agreed to supply ultrasound equipment and technical support
to theNASCAR Winston Cup Series, NASCAR Busch Series, and NASCAR
Craftsman TruckSeries. Microphonics and NASCAR are well matched given the
High Tech applications available in all the NASCAR series. Jimmy Gayle (CEO
Microphonics) said, ''NASCAR is an excellent fit with Microphonics. Our
relationship with the automotive industry allows us to perform additional
R&D work in one of the most high tech environments available today.
Microphonics' synergistic approach with NASCAR has pushed us to the leading

March 9, 1999 - MICROPHONICS AND ARCA SIGN CONTRACT;
Microphonics has agreed to supply ultrasound equipment and technical
support to ARCA (Automobile Racing Club of America, Inc.) Microphonics
is very happy to form a relationship to further its R&D work in the racing
industry. This high tech environment is synergistic with our automotive
approach. ARCA gives Microphonics the avenue to distribute its proven
products to the racing industry.

MAR 11 - MICROPHONICS - U.S. ARMY CORP. OF ENGINEERS SIGN CONTRACT;
Microphonics announces that it has participated as an invited guest speaker
before the United States Army Corps of Engineers International Technology
Transfer Conference. Microphonics Inc. was one of the only three United
States companies invited to present their papers. The U.S. Army Corps of
Engineers has since purchased the industrial unit (111RCK) at multiple
facilities, and we look forward to an increasingly strong relationship
during 1999.

March 16 - NASCAR STATUS REPORT; Jimmy Gayle, CEO of Microphonics,
Inc., attended the NASCAR race in Atlanta, Georgia on March 12th through the
14th for the purpose of joint inspections with NASCAR, for both pre-race and
post-race. The success of these inspections using ultrasound only serves to
solidify the exciting relationship between Microphonics and NASCAR.

MAR 26 - ADDRESS TO SHAREHOLDERS; In response to numerous
shareholder requests regarding Microphonics 1998 financials, we would
like to state that while not experiencing being a profitable year, revenue
still enabled us to position ourselves for an exciting 1999.

With regard to inquiries from our valued shareholders concerning future
1999 projections, we will keep our shareholders abreast of the factual
information concerning Microphonics. We will not speculate as to exactly
what the future may hold. The year 1999 certainly looks stable, productive,
and profitable for Microphonics. Our existing contracts, that is those that
are already in place with units being delivered on an ongoing basis, offer
the stability that Microphonics is able to build on. Ford-U.S., F.M. Mafco,
G.M. Blanket, and Ford-Europe, to name just a few, already assure
Microphonics a profitable 1999.

MAR 30 - Microphonics representatives have completed extensive
demonstrations and testing at Delco Remy International, Inc., world
headquarters in Anderson, Indiana and one of their subsidiary companies,
Franklin Power Products, Inc., in Franklin, Indiana.

Tests were performed on several possible applications with the Model
111RCK diagnostic ultrasound unit on diesel engines and numerous
components. The Microphonics unit is electronically programmed to listen
for high frequency signature sounds that indicate a future possibility of
product defects in terms of leaks, bearing wear and certain electrical
problems.

The Microphonics ultrasound detection units are ''trained'' to ignore
ambient sounds of noisy factories or engines and only listen to the
''signature'' ultrasounds which indicate a potential problem, long before a
major breakdown or downtime issue develops. This proprietary technology
enables in-house technicians with only a short one-day training session, to
expertly monitor equipment performance and product quality while reducing
maintenance and warranty costs.

Most recently another major O.E. and aftermarket manufacturer and
remanufacturer have conducted extensive tests using 111RCK unit. Based on
initial evaluation of the Microphonics equipment at Delco Remy
International's world headquarters in Anderson, Indiana, engineers have
identified significant potential applications and costs' savings. Delco Remy
International, Inc., expects to enter into purchase agreements with
Microphonics in the near future.

The list of new customers is growing as companies follow the lead of General
Motors, Ford and Delco Remy International into the new frontiers of quality
and cost savings offered by Microphonics' unique technology for industry.

APR 1 - MICROPHONICS SIGNS PURCHASE AGREEMENT WITH JUD-TECH;
Microphonics announces that it has entered into a contractual agreement with
Jud-Tech Inspections to serve as our distributor for selected markets
throughout Western Canada.

Jud-Tech Inspections and its owner Jud Welliver C.I.T. have been serving the
Oil & Gas Industry for over 15 years.

The major service of the company is Preventive/Predictive Maintenance to the
''Oil Patch.''

Jud-Tech introduced Infrared Thermography Technology & Ultrasound to
hundreds of Oil Batteries and Gas Plants throughout Western Canada including
the Yukon and Northwest Territories.

All anomalies found using Infrared & Ultraphonics Ultrasound Diagnostics
(Electrical Hot-spots, Bearing & Refractory failures) are put in concise,
accurate and easy to follow reports. Problems are then repaired at a
''Scheduled Shut-Down.'' This procedure has produced incredible savings to
our clients in:

a. Production down-time
b. Man hours for repairs
c. Equipment replacement

APR 8 - MICROPHONICS APPOINTS ALAN ABRAMS BUSINESS MANAGER;
Microphonics, the leading company in ultrasound detection training and
equipment, is pleased to announce the appointment of Alan Abrams as its
Business Manager.

The announcement was made today by Microphonics Chief Executive Officer,
Jimmy Gayle. In making the announcement Gayle said, ''Mr. Abrams brings a
long record of outstanding accomplishments in the financial end of the
business world to Microphonics. We are pleased to have someone of his
caliber join our company. He will focus on taking Microphonics to the next
level.''
Gayle added, " Mr. Abrams' most immediate concerns will be to monitor and

In addition to his position with Microphonics, Abrams is currently the owner
of Tennessee Funding Co., which he founded in 1994. From 1989 to 1994,
he was vice president and general manager of TIC Financial Systems, located
in Nashville, Tenn. Abrams was senior vice president of Comdata Network
Inc.,
between 1972 and 1985. He also served on the company's board of directors
during this time. At Comdata, he was responsible for the development,

per month. This contract brings Microphonics in excess of 5 million
dollars in 24 months at the rate of over $211 thousand per month.

APR 16 - MICROPHONICS ANNOUNCES 1999 FIRST QUARTER PROFIT;
Microphonics announced today a first quarter profit for 1999.
This exceeded company expectations, since contract order deliveries
did not start until the latter part of the quarter. Microphonics will be sending
its 1998 and 1st quarter 1999 financials to Standard and Poors the week
of April 19th. They will be available shortly thereafter.
