hello joseph,

i will try and answer a few of your questions on the fly hopefully correctly - you have quite a list there LOL - i know it appears confusing at first but navigating their site is helpful

go to the investor relations section to download the investor fact sheet and get direct links for company information such as percentage owned - the press room is helpful too

i believe when and IF these 2 deals go thru:
-CMGi's LCOS stock would be exchanged for the stock of a new company combining TMCS, LCOS and THE HOME SHOPPING NETWORK
-CMGi'S GCTY stock would be exchanged for YHOO stock

THE @VENTURE GROUP (3) are:
-generally NOT wholly owned
-as time went on, all three groups were setup with different financial arrangements between management, primary investors and shareholders
-check past press releases (at their site) the last one #3 being
closed dec/98

THE INTERNET GROUP
-generally wholly owned companies that they have started from the ground up
- they will acquire other companies outright to merge with these
- my guess is that these are the roots of CMGI's future operating companies

sorry just a LAYPERSON's IPO explanation:
-shareholders benefit from an ipo because the shares that the parent company still retains of the spinoff now has a market value assigned
-the parent company also receives payment for the portion of the spinoff company sold
-the spinoff should also benefit from the higher shareholder dollars brought in
