Possible answer:
Maybe he was afraid of the 900 pound gorillas stalking the network jungle that are looking to take away his banana?

As for your comment about Cowell looking out for all the shareholders interests, including his own-- you might be right, but unless I personally knew the man, I wouldn't bank on it. I'm not negative the deal, but the fat lady hasn't sung yet.
