In Alabama. RISC bought Independent Association Administrators and a related firm Risk Inspection Services and Consulting. To buy then RISC gave 790,336 shares under a contract that if shareholders still owned the stock as of 9/17/1998, RISC is obligated to give then as many as 709,336 more shares in an attempt to raise the market value to 10.9 million.

The ramifications go beyond the two immediate deals. Irv DeGraw, a stock analyst and teacher at Eckerd College stated "You look at a stock whose price has plummeted from $19 to $3, and is enmeshed in litagation......other than on a pure cash basis, they've lost their ability to do acquisitions'.

Regarding the stock's latest decline, Suan Russ, RISC's sr vp, sid the company had no comment. she said the company now plans to report 4th qtr and full yr results during the last week in march. Earlier it had stated this would happen 2/15 and then 3/21.
