The highly respected financier Arthur Rock invested a $1/4 million in NTII. This was revealed in a new SEC filing. This is quite an endorsement of NTII. Arthur Rock is as savvy as they come. In addition, this substantiates prior posts, that the offering price was .50.

On April 14, 1999, the Reporting Person purchased 500,000 shares (the "Preferred Shares") of Series A Preferred Stock of the Company (the "Preferred Stock") and a stock purchase warrant (the "Warrant") to purchase 200,000 shares of Common Stock of the Company (the "Warrant Shares") for an aggregate purchase price of $250,000. The source of funds for the purchase of the Preferred Shares and the Warrant was the Reporting Person's personal funds. The source of funds for the exercise price of the Warrant will be the Reporting Person's personal funds.

ITEM 4. PURPOSE OF TRANSACTION

The Reporting Person purchased the Preferred Shares and the Warrant for investment purposes. The Reporting Person does not currently have any plans or proposals which relate to or would result in any matters set forth in Items 4(a) through 4(j).

ITEM 5. INTEREST IN SECURITIES OF THE ISSUER

(a) As of the date of this Statement, the Reporting Person beneficially owned 1,188,5642 shares of the Issuer's Common Stock, representing approximately 14.38% of the Issuer's outstanding shares of Common Stock (as reported in the Issuer's Form 10-QSB for the fiscal quarter ended December 31, 1998).
